Capitalized terms used in this agreement shall have the meanings set out below unless the context expressly requires otherwise:
a. "DOORIFY TECH S.R.L." or "Trouble Flight" refers to the company with its registered office at Bulevardul Pipera Nr. 198/4, Bloc L1B3, Scara 2, Ap. 15, Judet Ilfov, Voluntari 077191, Romania, which operates the compensation service on behalf of airline passengers.
b. "Affiliation Program" or "Program" refers to the affiliate program that allows businesses to partner with Trouble Flight and earn a commission for every valid claim submitted by passengers referred by the Affiliate.
c. "Claim" refers to the request made by the passenger to whom Trouble Flight offers assistance.
d. "Affiliate" refers to the business entity that participates in the Affiliation Program and receives a commission for each valid claim submitted by passengers referred by the Affiliate.
e. "Commission" refers to the amount paid by Trouble Flight to the Affiliate for each valid claim submitted by passengers referred by the Affiliate, as per the commission schema detailed in the Affiliation Program.
f. "Unique Link" refers to the custom link generated for each Affiliate, which allows tracking of the Claims submitted through that Link.
g. 'Intellectual Property' refers to any intellectual property rights, including, but not limited to, trademarks, logos, copyrights, and patents, relating to the Affiliation Program.
h. "Party" or "Parties" refers to Trouble Flight or DOORIFY TECH S.R.L. and Affiliate, respectively.
i. "Dashboard" refers to the online control panel provided by Trouble Flight to Affiliates, which allows Affiliates to view real-time performance information about their account and unique links.
j. "Compensation" refers to the amount to be paid by the airline to the passenger as compensation for any inconvenience suffered as a result of a cancelled, delayed, or overbooked flight.
k. "Payment Limit" refers to the minimum amount of 50 euros that must be reached before Trouble Flight will process the commission payment to the Affiliate.
l. "Payment Cycle" refers to the process where the Affiliate can request a commission payment as soon as they reach the Payment Limit, with no specific time limitation imposed by Trouble Flight.
a. To participate in the Affiliation Program, businesses must register for the service through Trouble Flight's website and agree to the terms and conditions of this Agreement.
b. Once approved, the Affiliate will receive a unique link that the Affiliate can use to refer clients to submit claims through Trouble Flight.
c. The Affiliate may promote its custom link through its own online channels, including, but not limited to, blogs, websites, email, social media, and forums, provided that it does not violate the policies and regulations of such channels.
d. The Affiliate agrees not to use paid traffic, such as purchasing traffic from search engines or any other platform, to drive visitors directly to Trouble Flight's website using their unique link. This includes but is not limited to pay-per-click advertising, sponsored posts, or any other form of paid advertising.
e. Trouble Flight reserves the right to refuse or revoke an Affiliate's participation in the Affiliation Program at any time if such Affiliate violates the terms and conditions of this Agreement or any other agreement with Trouble Flight.
f. Affiliate agrees to use the unique link only for legitimate purposes and not to mislead its clients into making claims through Trouble Flight.
g. The Affiliate agrees not to use spamming or other aggressive or invasive marketing techniques to promote its unique link.
h. Affiliate agrees not to infringe on the intellectual property of Trouble Flight or any other party, including, but not limited to, trademarks, logos, copyrights, and patents related to the Affiliation Program.
a. The Affiliate shall receive a commission for each valid claim submitted by passengers referred using the unique link provided by Trouble Flight, as per the following commission schema:
250 euro claim: 7.50 euro commission.
400 euro claim: 12 euro commission.
600 euro claim: 18 euro commission.
The commission will be calculated per passenger.
b. The commission will only be paid to the Affiliate for valid claims accepted by Trouble Flight.
c. Trouble Flight reserves the right to reject a claim submitted by a client referred by the Affiliate if such a claim is deemed fraudulent or unjustified.
d. The Affiliate agrees not to refer clients in a fraudulent or unjustified manner.
e. Trouble Flight reserves the right to change the fees paid for the Affiliation Program at any time upon notice to the Affiliate.
f. The Affiliate is responsible for providing Trouble Flight with the information necessary for payment of the commission, including, but not limited to, the Affiliate's business name, address, tax identification number, and bank account number.
g. Trouble Flight will make commission payments to the Affiliate only after it has collected the compensation from the airline.
h. Trouble Flight will make payments to the Affiliate as soon as they reach the Payment Limit of 50 euros, with no specific time limitation imposed by Trouble Flight.
i. The Affiliate is responsible for periodically checking the balance of its commission and uploading an invoice to request payment when it reaches the Payment Limit.
j. Trouble Flight is not responsible for any delays or problems in receiving payment due to incorrect or incomplete bank details provided by the Affiliate.
k. Trouble Flight is not responsible or liable for payments delays caused by bank operations.
a. The Affiliate agrees to promote the Affiliation Program in an ethical and legal manner and to comply with all applicable laws and regulations.
b. The Affiliate is solely responsible for promoting the Affiliation Program and agrees not to use deceptive or fraudulent practices to promote the Program.
d. The Affiliate agrees not to use Trouble Flight's name or logo without prior written permission from Trouble Flight.
e. The Affiliate is responsible for ensuring that the unique link provided by Trouble Flight for the promotion of the Affiliation Program is used correctly and is not modified or altered in any way.
f. The Affiliate is responsible for providing accurate and truthful information regarding their business and banking information.
g. The Affiliate is solely responsible for accessing and using their account and associated password, and undertakes to keep such data confidential and protect it from unauthorised access.
h. The Affiliate agrees to indemnify and hold harmless Trouble Flight and its affiliates, agents, employees, and representatives from any and all claims, liabilities, expenses, or damages arising out of any breach of these contractual provisions, the unethical or illegal promotion of the Affiliation Program, the fraudulent or improper use of custom links provided by Trouble Flight, or any other inappropriate or unlawful activity or conduct of the Affiliate.
a. Trouble Flight will provide the Affiliate with access to the Affiliation Program dashboard where the Affiliate can monitor activity.
b. Trouble Flight will pay commissions to the Affiliate based on valid claims opened through the unique link provided to the Affiliate's clients.
c. Trouble Flight will display the amount of commission earned by the Affiliate on the Affiliate's Affiliation Program dashboard within 30 working days of receiving payment of compensation from the airline.
d. The Affiliate shall request commission payment via the Affiliation Program dashboard by uploading an invoice. The Affiliate shall provide Trouble Flight with their complete and true bank account details in order to receive payment. Trouble Flight will not be responsible for any payment errors resulting from incorrect or incomplete banking information provided by the Affiliate.
e. Trouble Flight will make commission payments by bank transfer within 30 working days of the Affiliate's request for payment. The Affiliate is responsible for any taxes or fees that may be due in relation to payments received from Trouble Flight.
f. Trouble Flight will only make commission payments if the total amount of commission earned by the Affiliate reaches or exceeds the Payment Limit of 50 euros. If the amount of commissions earned by the Affiliate does not reach this limit, Trouble Flight will retain the commissions until the amount reaches this limit.
g. The Affiliate can request payment of commissions as soon as they reach the Payment Limit, with no specific time limitation imposed by Trouble Flight.
a. This agreement shall enter into force on the date of the Affiliate's acceptance by registering for the Affiliation Program.
b. This contract may be terminated by either party at any time, with or without cause.
c. The Affiliate may terminate participation in the Affiliation Program at any time via the Program dashboard.
d. Trouble Flight reserves the right to suspend or terminate this agreement or the Affiliate's participation in the Affiliation Program at any time, with or without cause.
e. Termination of this agreement will result in termination of the Affiliate's right to participate in the Affiliation Program and to receive commission for claims submitted through its unique link.
f. All provisions of this agreement relating to limitations on liability, indemnity, confidentiality and other restrictions of a similar nature, as well as provisions relating to the payment of commissions, will continue to apply after termination of this agreement.
g. The Affiliate acknowledges that breach of any provision of this agreement may result in the loss of the right to participate in the Affiliation Program and the forfeiture of any commission due to the Affiliate.
a. This Agreement is governed by Romanian law. All disputes arising out of or in connection with this Agreement, including disputes arising out of or in connection with its interpretation, invalidity, implementation or termination, and disputes relating to omissions under this Agreement or adaptation to emerging circumstances, shall be settled by the competent Romanian court in accordance with the provisions of the Romanian legislation.
b. This contract has been prepared in the English language. In the event of any discrepancies or inconsistencies between any translated versions, the English version of the contract shall take precedence and be the governing version for the purposes of interpretation.
